Terms of Service

These terms govern your use of Ledgerwire, operated by Ledgerwire LLC (“we”). By using the service you agree to them.

1. What Ledgerwire is

Ledgerwire is a hosted, read-only connector. It lets AI assistants you connect (such as Claude, via the Model Context Protocol) read your financial account data through a third-party aggregator. Ledgerwire cannot move money, make payments, place trades, or change anything at your financial institutions — no such capability exists in the product.

2. Eligibility and accounts

You must be 18 or older and connecting accounts you are authorized to access. Sign-in is passwordless (a single-use email link); keep access to your email secure.

3. Subscription, billing, and cancellation

Ledgerwire offers a free tier and a paid plan at $8.99 per month, billed monthly through Stripe. There is no free trial. Prices exclude applicable taxes unless stated. If a payment fails, your paid access may be suspended or downgraded to the free tier. Canceling and deleting your account are separate actions: canceling stops future renewals and takes effect at the end of the current billing period (you keep paid access until then); deleting your account removes your access and initiates deletion of eligible data (see the Privacy Policy). Fees already paid are non-refundable except where required by law — canceling stops future charges, and our free tier lets you try Ledgerwire before you pay. We may, at our discretion, provide a refund or credit. Promotional pricing, if offered, applies only as stated at the time.

4. Automatic renewal

Your Ledgerwire subscription is a monthly, automatically renewing subscription. By subscribing, you authorize Ledgerwire LLC to charge your payment method $8.99 per month (plus any applicable taxes) each month until you cancel. Your subscription renews automatically at the end of each monthly billing period. You may cancel at any time through your account dashboard or the Stripe billing portal; cancellation stops future renewals and takes effect at the end of the then-current billing period. If we change the subscription price, we will notify you in advance and, where required by law, obtain your consent or give you the opportunity to cancel before the new price takes effect.

5. Free tier

Free-tier features and limits may change over time, and we may impose reasonable usage limits to protect service reliability and prevent abuse. Current limits are shown on the pricing page.

6. Acceptable use

Ledgerwire is for your personal use with your own accounts. You agree not to: resell or share your access or connection with others; use automated methods to systematically extract or replicate the service or the financial-data network at a volume inconsistent with ordinary personal use; probe, disrupt, or circumvent security or rate limits; or reverse-engineer the service.

7. Third-party services and AI clients

Your financial institutions, our aggregator (Quiltt/Finicity), and any AI client you connect are third parties with their own terms and privacy practices. Institution coverage and available fields vary and can change. When Ledgerwire returns financial information to an AI client, that client may retain the prompt, response, or conversation under its own settings and policies; Ledgerwire does not control deletion or model-training settings within third-party AI products.

8. No financial advice; data accuracy

Ledgerwire surfaces data; it does not provide financial, investment, tax, or legal advice. Data comes from third-party institutions via the aggregator, can lag by several days, and may be incomplete or unavailable for some institutions or fields (an unavailable field is shown as “not reported,” never as $0). Do not rely on it as a system of record.

9. Intellectual property and feedback

Ledgerwire and its software, branding, and content are owned by Ledgerwire LLC. You retain ownership of your data; you grant us the limited license necessary to operate the service and fulfill your requests. If you send feedback or suggestions, you grant us a non-exclusive, royalty-free license to use them without obligation to you.

10. Your responsibility for claims

You agree to defend, indemnify, and hold harmless Ledgerwire LLC and its owner from and against any third-party claim, demand, loss, or expense (including reasonable attorneys’ fees) to the extent it arises out of: (a) your breach of these Terms or our acceptable-use rules; (b) your violation of any law; (c) your infringement or violation of another person’s rights, including intellectual-property or privacy rights; (d) your connection of, or attempt to access, any financial account you do not own or are not authorized to access; or (e) your misuse of the service. This obligation does not apply to any claim to the extent it arises from Ledgerwire’s own negligence, fraud, or willful misconduct, or from Ledgerwire’s breach of these Terms. We may assume the exclusive defense of any such claim at our expense, and you agree to cooperate with that defense.

11. Availability

The service is provided on a best-effort basis; upstream outages (your bank, the aggregator, hosting) are outside our control. See ledgerwire.io/sla.

12. Termination

You may stop using the service and delete your account at any time (support@ledgerwire.io). We may suspend or terminate access for violation of these terms or to protect the service.

13. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Ledgerwire does not warrant that the service will be uninterrupted, error-free, or secure, or that any account data is accurate, complete, or current. You are responsible for verifying financial information before relying on it.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERWIRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR INVESTMENT OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. LEDGERWIRE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID LEDGERWIRE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS (US $500).

The limitations above do not apply to, and nothing in these Terms limits or excludes, liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or willful misconduct; (c) death or personal injury; (d) a party’s indemnification obligations; (e) infringement or misappropriation of the other party’s intellectual property; or (f) any liability that cannot be limited or excluded under applicable law. Nothing in these Terms waives any right or remedy that cannot be waived under applicable law, including the Illinois Consumer Fraud and Deceptive Business Practices Act (815 ILCS 505).

14. Dispute resolution

Before starting any court proceeding, you agree to first send a written description of your dispute to support@ledgerwire.io and give Ledgerwire LLC 60 days to attempt to resolve it. Neither party may commence a proceeding until this period ends, except that either party may bring a qualifying claim in small-claims court or seek injunctive or other equitable relief at any time.

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

15. Governing law and venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, and do not deprive you of any mandatory consumer protection of your state of residence that cannot be waived by agreement. The exclusive venue for any dispute arising out of or relating to these Terms or the service is the state and federal courts located in Cook County, Illinois, and each party consents to the personal jurisdiction of those courts, except that either party may bring an individual claim in a small-claims court of competent jurisdiction.

16. Changes

We may update these terms; material changes will be communicated to active users, and continued use constitutes acceptance.
